ABOUT YOU AND THE ROLE

 

You’ll be a qualified Solicitor or Company Secretary or qualified accountant in either England and Wales who has exposure to both common & civil law  to other European and international jurisdictions in the corporate law sphere within a large company or law firm.
Depending on jurisdiction you have acted as a legal director and legally recognised corporate secretary or legal representative.
You will be  a member of any of the following bodies either the Institute of Chartered Accountants or equivalent or the Institute of Chartered Secretaries and Administrators or equivalent depending on where you are qualified/located.
You’ll be confident in influencing and guiding managing stakeholders
You’ll be familiar in supporting the business with executing corporate authorisation documents and sign offs for different companies  and coping with questions and processes supporting multi jurisdictions and liaising  with Secretaries and Financial Controllers worldwide.
You’ll maintain a central record that details who the authorised signatories are for different companies and also be responsible for the annual filings and registrations.

 
WHAT WILL I BE DOING?

 

  • Reporting to Corporate Secretary and often liaising with board members including: contributing to discussions, providing support, legal advice and/or strategic advice to the board or other committees and company stakeholders on specific projects 
  • Maintaining statutory books, including registers of members, directors and secretaries, and providing monthly updates to company group stakeholders on structure related changes. General monitoring of changes in share ownership of the group companies and responsibility for Ultimate Beneficial Ownership tracking and requests; completing or assisting with filings in respect of the group companies; 
  • Approving dividends, loans and other corporate transactions from a legal perspective particularly with respect to EMEA jurisdictions 
  • Dealing with day to day correspondence, collating information and reporting accordingly, communicating decisions/actions to relevant company stakeholders 
  • Liaising with external regulators and advisers, such as lawyers and auditors and taking responsibility for progressing company projects; 
  • Reviewing and entering into contracts on behalf of the company group and responsibility for productions of powers of attorney and related approvals; 
  • Preparing agendas, minutes and resolutions for board meetings, committees and annual general meetings and follow up on action points; 
  • Implementing adoption of new corporate maintenance platforms
  • Implementing processes or systems to help ensure good management of the organisation or compliance with legislation
  • Maintaining the legal entity rationalisation program 

 
 
WHAT SKILLS & EXPERIENCE ARE WE LOOKING FOR?

 

  • At least 2 years of corporate law experience in a global company or law firm.
  • Commercial awareness and ability to unpick issues and to problem solve 
  • Good interpersonal skills 
  • Attention to detail, excellent organisation, time management and administration skills
  • The ability to take the initiative and a flexible and practical approach to work 
  • Ideally some experience of Entity Management Software
